DEFINITIONS:
1.1 “Natural Beauty Affiliate”
A “Natural Beauty Affiliate” refers to participating sellers who promote products available on BIO UP’s official website (www.bio-up.com.my)
1.2 “Affiliate Links”
“Affiliate Links” refer to advertising materials provided by BIO UP to Affiliates through the Programme. These may include graphics, artwork, text, files, URLs, and HTML or JavaScript code.
1.3 “Completed Purchase”
A “Completed Purchase” occurs when an approved sale and/or purchase transaction of a Product between a Buyer and a Seller on the Platform is completed in accordance with Natural Beauty’s Terms of Use.
1.4 “Product”
A “Product” refers to any item listed or service offered by Sellers for sale to Buyers on the Platform.
1.5 “Prohibited Content”
“Prohibited Content” includes, but is not limited to, any content that:
- Promotes or is related to illegal activities, such as drugs, phishing, terrorism, criminal activities, contests, pyramid schemes, or chain letters.
- Encourages or is associated with tobacco, gambling, or weapons.
- Contains pornographic, obscene, or sexually explicit material.
- Depicts excessive graphic violence.
- Is defamatory, inappropriate, or profane.
- Is discriminatory or constitutes “hate speech,” whether directed at individuals or groups, based on race, gender, religion, nationality, sexual orientation, or language.
- Promotes or distributes harmful software, including viruses, worms, malware, corrupted files, or any material intended to disrupt, damage, or disable software, hardware, or security measures.
1.6 “Terms of Use”
“Terms of Use” refers to the governing terms and conditions of the Platform, including any additional guidelines set by Natural Beauty or any updates made from time to time.
PARTICIPATION REQUIREMENTS
2.1 Usage of Seller Affiliate Portal (“Portal”). To participate in the Programme, Affiliate is required to enroll via Bio UP Affiliate Portal located at https://www.bio-up.com.my/affiliate-partner/ .The Portal shall be the main access point for the Affiliate to participate in the Programme.
2.2 Registration Information. Affiliate shall provide any information requested by Natural Beauty in the Portal and shall ensure such information is true, accurate and complete, for the purpose of registration for the Programme. Any false or inaccurate information submitted to BIO UP shall be deemed as grounds for termination of this Agreement. Natural Beauty may accept or reject Affiliate’s application at its sole discretion and for any reason.
INCENTIVE AND PAYMENT TERMS
3.1 Incentive Rate
The monthly incentive payable by Natural Beauty to the Affiliate (“Incentive”) shall be determined based on the rates specified on the Platform website or as separately agreed in writing between Natural Beauty and the Affiliate (“Incentive Rate”).
3.2 Calculation of Incentive
The Incentive for each month shall be calculated as the Net Completed Purchase Value multiplied by the Incentive Rate. All Incentives paid to the Affiliate are inclusive of any applicable value-added tax (VAT) or similar taxes, where applicable.
3.3 Payout
The Incentive shall be credited to the Affiliate’s Seller Wallet on a monthly basis.
The payment will be processed by the end of the month
3.4 Payment Terms
Natural Beauty will verify and approve the Incentive payable to the Affiliate. Upon approval, payment shall be made within thirty (30) days. The amount determined by Natural Beauty shall be deemed final and binding.
3.5 Tax Obligations
Each party shall be responsible for its own tax liabilities under this Programme. If required by law, Natural Beauty shall deduct and withhold applicable taxes from the Incentive before payment and provide the Affiliate with the necessary withholding tax documentation.
3.6 Chargebacks and Adjustments
Natural Beauty reserves the right to withhold, set off, or reclaim any Incentive paid out for transactions that are later found to be invalid, refunded, disputed, or reversed for any reason. Natural Beauty’s determination on chargebacks shall be final.
RESPONSIBILITIES OF AFFILIATE
4.1 Business Conduct – The Affiliate shall not bind or make representations on behalf of Natural Beauty. The Affiliate must not engage in misleading, deceptive, or unlawful conduct, nor promote prohibited products or services. Natural Beauty reserves the right to request the immediate removal of any content published by the Affiliate under this Programme.
TERMINATION
5.1 Natural Beauty reserves the right to terminate this Affiliate Programme at its sole discretion for any reason it deems appropriate, by providing fourteen (14) days’ prior written notice and disabling the Affiliate Links. However, Natural Beauty may terminate an Affiliate’s participation immediately and without prior notice if the Affiliate breaches any obligations under this Programme.
5.2 Upon termination of this Programme for any reason, the Affiliate shall immediately cease all use of BIO UP’s Affiliate Links and must refrain from representing itself as a Natural Beauty Affiliate in any manner.
5.3 Termination Due to Breach – If the Affiliate’s participation is terminated due to a breach of its obligations under this Programme, Natural Beauty reserves the right to withhold or forfeit any outstanding payments due to the Affiliate as liquidated damages, without prejudice to any other rights or remedies available under applicable Malaysian laws.
